Terms of Sale

1. Scope
These general terms and conditions ("Terms") apply to all quotes, orders, and agreements between Digital Richard (BE 1018.776.350), trading as Calm Workplace ("we", "us"), and the business customer ("you"). They prevail over any of your own purchasing conditions unless we agree otherwise in writing.
2. The offering
We sell and lease the PODCALM® wellness capsule and related services (delivery, installation, calibration, maintenance, support) to organisations in Belgium, the Netherlands, and Luxembourg. Product specifications described in marketing materials are indicative; the exact configuration is confirmed in your written quote.
3. Quotes and pricing
Quotes are valid for the period stated on them and are expressed in euros (EUR), excluding VAT unless explicitly stated otherwise. Pricing depends on the chosen configuration, lease or purchase option, installation requirements, and contract term.
4. Order and contract formation
A binding agreement is formed when you sign or accept our written quote, or when we confirm your order in writing. No agreement exists based on oral commitments alone.
5. Delivery, installation, and service
We organise delivery to the agreed on-site location, carry out professional installation and calibration, and provide an employee briefing session. Ongoing maintenance and technical support are governed by the service contract included in your agreement; response-time targets are specified therein.
6. Payment
Invoices are payable within the term stated on the invoice (default: 30 days from invoice date unless otherwise agreed). In the event of late payment, statutory interest under Belgian law applies automatically, together with a reasonable flat-rate recovery fee. We reserve the right to suspend services until overdue amounts are settled.
7. Warranty and liability
The PODCALM® capsule carries the manufacturer's hardware warranty for the duration specified in the product documentation. We provide the service layer on top of this warranty as set out in your service contract.
To the extent permitted by applicable law, our total liability is limited to the amounts directly covered by the service contract for the period in question. We exclude liability for indirect, incidental, or consequential damage (including loss of profit or business interruption) unless caused by our gross negligence or wilful misconduct.
8. Intellectual property
PODCALM® is a registered trademark of its respective owner. Calm Workplace operates as an independent authorised seller of PODCALM® products. All website content (texts, images, logos, layout) remains our property or that of our licensors and may not be reproduced without prior written permission.
9. Data protection
We process personal data in accordance with our Privacy Policy.
10. Contract term and cancellation
Lease agreements run for the fixed term agreed at signing. Termination requires six months' written notice prior to the end of the term, unless otherwise specified in your individual agreement. All material terms and conditions are disclosed in full before you sign; there are no hidden clauses or automatic price escalators unless explicitly stated.
11. Force majeure
Neither party is liable for failure to perform obligations caused by circumstances beyond their reasonable control (including supply chain disruptions, natural disasters, or regulatory changes), provided the affected party notifies the other promptly and makes reasonable efforts to mitigate the impact.
12. Governing law and jurisdiction
These Terms are governed exclusively by Belgian law. Any disputes that cannot be resolved amicably fall under the exclusive jurisdiction of the competent courts of Belgium.
